Terms of Service

These Terms of Service (the "Terms") are a binding legal agreement between you and Hiry Platforms LLC ("Hiry," "we," "us," or "our") and govern your access to and use of the Hiry website, applications, and related services (collectively, the "Platform").
This draft is provided for business use and product implementation planning. You should have this document reviewed by licensed legal counsel before publishing or relying on it in production.
By creating an account, clicking to accept these Terms, or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
1. Eligibility and Authority
You must be at least 18 years old to use the Platform.
You may use the Platform only if you can form a legally binding contract under applicable law.
If you use the Platform on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.
You may not use the Platform if doing so would violate sanctions, export controls, or any applicable law.
2. Definitions
For these Terms:
"Client" means a user who purchases services through the Platform.
"Freelancer" means a user who provides services through the Platform.
"Project" means a service engagement between a Client and a Freelancer initiated or managed through the Platform.
"Deliverables" means work product created by a Freelancer for a Client under a Project.
"Invoice" means a billing request issued through the Platform for Project services or applicable fees.
"Platform Fees" means commissions, processing fees, subscription fees, and other fees charged by Hiry.
"Subscription" means a recurring paid plan for access to premium Platform features.
"Dispute" means a disagreement relating to a Project, Invoice, payment, Deliverables, account action, or these Terms.
"User Content" means content, data, files, messages, or materials submitted to the Platform by users.
3. Platform Model and Relationship of Parties
Hiry operates a service platform that connects Clients and Freelancers and provides billing, payment, workflow, and administrative features.
Hiry uses a reseller-style transaction model. Clients pay Hiry for Project services, and Hiry pays Freelancers through connected payout services, including Stripe Connect.
Under this model, Client-facing Invoices for Project services are issued by Hiry, and payouts or payment records to Freelancers are issued by Hiry or its payment providers.
Hiry is not the employer, staffing agency, labor provider, partner, or joint venturer of any Freelancer or Client.
Freelancers are independent contractors and are solely responsible for how they perform services.
Clients are solely responsible for deciding whether a Freelancer is suitable for a Project and whether Deliverables meet Client requirements.
Except as explicitly stated in these Terms, Hiry does not guarantee the quality, legality, timing, or outcome of services provided by Freelancers.
4. Accounts, Verification, and Security
You must provide accurate and complete account information and keep it current.
You are responsible for all activity under your account and for keeping your login credentials secure.
Hiry may require identity, business, tax, or payment verification at any time.
Hiry may suspend or restrict access where we suspect fraud, unauthorized activity, sanctions risk, legal non-compliance, or security threats.
You agree to cooperate with reasonable compliance, anti-fraud, chargeback, and risk reviews.
Hiry may monitor, review, preserve, and disclose account information and Platform activity where reasonably necessary to operate the Platform, enforce these Terms, prevent fraud, protect rights or safety, or comply with law.
5. Payments, Billing, and Fees
5.1 Payment Rails and Processors
All Project payments must be made through the Platform.
Hiry may use third-party payment processors and financial service providers, including Stripe and Stripe Connect.
Your use of payment features may require you to accept additional terms from those providers.
Hiry is not liable for errors, delays, outages, or failures caused by third-party payment processors, banks, or card networks.
You authorize Hiry and its payment providers to store and use your payment credentials in tokenized form for recurring, retry, adjustment, and recovery charges permitted by these Terms.
5.2 Platform Fees and Revenue Model
Hiry may charge Platform Fees, including transaction commissions and Subscription fees.
Hiry may deduct applicable fees before remitting payouts to Freelancers, as described on the Platform or in applicable fee schedules.
All fees are stated in U.S. dollars unless otherwise specified.
You authorize Hiry and its payment partners to collect amounts due using your selected payment method.
5.3 Subscription Billing
Subscriptions automatically renew at the end of each billing cycle unless canceled before renewal.
You authorize recurring charges for Subscription fees and applicable taxes.
If a payment method fails, Hiry may retry charges and may suspend premium features or account access until payment is made.
Subscription fees are non-refundable except as expressly stated in Section 7.2.
5.4 Failed Payments and Chargebacks
If a Client payment fails, Hiry may pause a Project, withhold release of associated funds, or suspend account privileges.
Clients may not initiate chargebacks or payment reversals for Freelancer payments or Platform Fees without Hiry's prior written authorization.
Any attempted chargeback or payment reversal in violation of these Terms results in immediate account suspension pending investigation.
If a chargeback occurs, Hiry may recover the disputed amount, charge reasonable recovery costs, offset future payouts, and suspend or terminate accounts.
You are responsible for chargeback penalties, payment network fines, collection costs, and reasonable attorneys' fees incurred by Hiry due to payment reversals caused by your breach.
Hiry may pursue all lawful recovery actions, including third-party collections, reporting to payment networks, and legal proceedings.
6. Non-Circumvention and Off-Platform Communications
Once a Project begins or an Invoice is paid, Clients and Freelancers may communicate on or off the Platform.
Regardless of communication channel, all payments related to Projects sourced, initiated, or managed through Hiry must be made through the Platform.
You may not request, offer, or accept off-platform payment for Platform-related Projects.
Before a Project is created on the Platform, users may not share personal contact details, direct contact channels, payment handles, or external links intended to move negotiations or payment outside Hiry.
Any attempt to move communication or payment off-platform before a Project is created, including early exchange of personal details for circumvention purposes, voids any money-back guarantee eligibility and may be weighed negatively in dispute management.
Violation of this Section is a material breach and may result in account suspension, termination, withholding of funds, dispute penalties, and collection action.
7. Refunds, Cancellations, and Project Disputes
7.1 Project Payments
Project payments are non-refundable except as required by law or as determined through the dispute process in this Section.
All Project, payment, refund, and performance disputes must be submitted and handled through Hiry's dispute process.
Hiry's decision on Platform remedies, including refunds, payout releases, holds, offsets, reversals, and account enforcement, is final and binding to the maximum extent permitted by law.
Any Project refund is available only if awarded by Hiry through the dispute process or otherwise required by law.
Users must provide complete and accurate supporting evidence within the deadline requested by Hiry. Failure to cooperate may result in denial of claims or defenses.
Hiry may place temporary or extended holds on disputed funds while a dispute is under review.
7.2 Subscription Refunds
A Client may request a refund of the first month of a Subscription within 30 days of initial purchase only if the Client (a) posted at least one job on Hiry and (b) had good-faith conversations with at least three distinct candidates through the Platform.
The Client must provide sufficient evidence of this hiring attempt through Platform records.
Outside this limited first-month policy, Subscription fees are non-refundable except where required by law.
7.3 Cancellations
Users may cancel future Subscription renewals at any time, effective at the end of the current billing period.
Project cancellation terms may depend on Project status, accepted milestones, submitted Deliverables, and pending or completed work.
Cancellation does not relieve any party of accrued payment obligations, dispute obligations, or compliance obligations.
7.4 Guarantee and Dispute Eligibility Exclusions
The money-back guarantee eligibility and favorable dispute consideration may be denied where Hiry determines that a user:
attempted off-platform payment or circumvention;
exchanged personal details before Project creation for circumvention purposes;
initiated unauthorized chargebacks or payment reversals;
submitted false, manipulated, incomplete, or misleading dispute evidence; or
engaged in abuse, harassment, threats, or bad-faith conduct during dispute resolution.
8. User Conduct and Prohibited Services
You may not use the Platform to:
Violate any law, regulation, sanctions program, or third-party rights.
Offer or request illegal, fraudulent, deceptive, harmful, exploitative, or abusive services.
Infringe, misappropriate, or violate intellectual property, privacy, or confidentiality rights.
Transmit malware, spam, or malicious code, or interfere with Platform operations or security.
Misrepresent identity, credentials, affiliation, experience, or authority.
Manipulate reviews, metrics, billing records, or dispute outcomes.
Engage in harassment, discrimination, threats, hate speech, or explicit sexual exploitation content.
Use bots, scraping, or automated access in violation of Platform rules or technical controls.
Circumvent or attempt to circumvent Hiry's payment rails, fee model, dispute controls, or trust and safety controls.
Hiry may investigate and enforce violations at its sole discretion, including content removal, payment holds, account restrictions, suspension, termination, and legal reporting.
9. Deliverables, Intellectual Property, and Content License
9.1 Deliverables
Unless otherwise agreed in writing between Client and Freelancer, ownership of Deliverables transfers to the Client upon full payment of all applicable Invoices for those Deliverables.
Freelancer retains ownership of pre-existing materials, tools, templates, know-how, and generic components used to create Deliverables.
To the extent Freelancer background materials are embedded in Deliverables, Freelancer grants the Client a perpetual, worldwide, royalty-free license to use those embedded elements as necessary to use the Deliverables.
9.2 User Content License to Hiry
You retain ownership of your User Content.
You grant Hiry a non-exclusive, worldwide, royalty-free license to host, store, reproduce, modify (for formatting/technical purposes), display, distribute, and otherwise use User Content as needed to operate, secure, improve, and promote the Platform.
You represent that you have all rights needed to submit User Content and grant the license above.
9.3 IP Claims and DMCA
If you believe content on the Platform infringes your copyright or other intellectual property rights, contact us at hi@hiry.com with sufficient details to investigate. Hiry may remove or disable content and may terminate repeat infringers.
For copyright notices under the DMCA, include at least: (a) identification of the copyrighted work; (b) identification of allegedly infringing material and its location; (c) your contact information; (d) a good-faith statement that use is unauthorized; and (e) a statement under penalty of perjury that your notice is accurate and you are authorized to act.
10. Taxes
Users are solely responsible for determining, reporting, and paying all taxes, duties, levies, and similar charges arising from their use of the Platform, Projects, and payments.
Hiry may collect or remit taxes where required by law, but this does not shift your tax obligations.
Hiry may request tax documentation and may withhold payouts where required by law or reasonable compliance policy.
11. Suspension, Termination, and Enforcement
You may stop using the Platform at any time.
Hiry may suspend, limit, or terminate access immediately for breach of these Terms, fraud risk, payment abuse, legal compliance concerns, or platform security reasons.
Hiry may hold, delay, offset, or recover funds where needed for chargebacks, disputes, fraud investigations, legal obligations, or payment processor requirements.
Sections that by nature should survive termination will survive, including payment obligations, dispute resolution, indemnification, limitation of liability, and IP/license provisions.
12. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, HIRY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND QUIET ENJOYMENT.
HIRY DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ANY PROJECT WILL RESULT IN A SUCCESSFUL OUTCOME.
13. Limitation of Liability and Indemnification
13.1 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HIRY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HIRY'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE TOTAL FEES PAID TO HIRY BY THE CLAIMING PARTY IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations; in those jurisdictions, liability is limited to the fullest extent permitted by law.
The limits in this Section apply regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if a limited remedy fails of its essential purpose.
13.2 Indemnification
You agree to defend, indemnify, and hold harmless Hiry and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
your use of the Platform;
your Projects, Deliverables, or User Content;
your violation of these Terms or applicable law; or
your infringement or violation of any third-party rights.
14. Mandatory Hiry Dispute Process and Governing Law
14.1 Mandatory Internal Process
Before pursuing external remedies, users must submit all Platform-related disputes to Hiry through the Platform or by notice to hi@hiry.com and allow Hiry a reasonable review period.
14.2 Final and Binding Hiry Determination
Hiry's determination is final and binding for Platform administration, including payment routing, payouts, refunds, holds, reversals, chargeback handling, account actions, and guarantee eligibility.
To the maximum extent permitted by law, users waive any internal appeal rights unless Hiry elects to reopen a matter due to clear error, fraud, or newly discovered evidence.
14.3 Limited External Proceedings
Any external proceeding, if allowed by applicable law, must be brought solely in an individual capacity and only after completion of Hiry's mandatory dispute process.
14.4 Class Action and Jury Trial Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND HIRY AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. YOU AND HIRY WAIVE ANY RIGHT TO A JURY TRIAL.
14.5 Governing Law and Exclusive Venue
These Terms and any Dispute will be governed by the laws of the State of Wyoming and applicable U.S. federal law, without regard to conflict-of-law rules.
To the extent an external proceeding is permitted, the parties agree to exclusive venue in the state or federal courts located in Wyoming.
14.6 Time Limit to Bring Claims
To the extent permitted by law, any claim or cause of action arising out of or relating to these Terms or the Platform must be filed within one (1) year after the claim arose, or it is permanently barred.
15. Changes to Terms
Hiry may update these Terms from time to time.
If we make material changes, we will provide notice through the Platform, email, or other reasonable means.
The updated Terms become effective on the date stated in the update notice.
Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
16. Miscellaneous
These Terms, together with any policies and supplemental terms referenced on the Platform, form the entire agreement between you and Hiry regarding the Platform.
If any provision is held unenforceable, the remaining provisions remain in effect.
Hiry's failure to enforce any provision is not a waiver.
You may not assign these Terms without Hiry's prior written consent. Hiry may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
No joint venture, partnership, employment, fiduciary, or agency relationship is created between you and Hiry by these Terms.
Headings are for convenience only and do not affect interpretation.
Notices and communications may be provided electronically, including by email, in-product notice, or posting on the Platform, and such notices are deemed received when sent or posted.
Hiry is not liable for delay or failure to perform caused by events beyond reasonable control, including natural disasters, utility failures, labor disputes, war, terrorism, civil unrest, government action, internet or infrastructure outages, or third-party service failures.
Except as expressly stated in these Terms, no person or entity that is not a party to these Terms has any right to enforce any provision of these Terms.
